While attending the Infoblox User Group presentation on September 25th, 2018, Infoblox may allow you access to nonpublic information, including information relating to Infoblox’s product roadmap (“Confidential Information”). By signing below, you and the organization that you represent (collectively, “Recipient”) agree to be bound by the terms and restrictions below relating to Confidential Information. In consideration of receiving such information, Recipient agrees as follows:
- Recipient will hold in confidence and not use any Confidential Information for its own benefit or the benefit of any third party. Recipient will not disclose any Confidential Information except information that (a) is in the public domain through no fault of Recipient’s, (b) was properly known to Recipient, without restriction, prior to disclosure by Infoblox, or (c) was properly disclosed to Recipient by another person without restriction.
- Recipient acknowledges any roadmaps and related information, such as future releases, product features and new product introductions, are for informational purposes only and are based on Infoblox's current development efforts and plans. These development efforts and plans are subject to change based on changes in the overall market, changes in the demands of Infoblox’s customer base or other factors such as the technical feasibility, market acceptance or profitability of a new product or feature. There can be no assurance that Infoblox will introduce the future products, features or enhancements described and Infoblox assumes no responsibility to introduce such products, features or enhancements. Recipient acknowledges that current purchasing decisions are not being made based on reliance on the timeframes or specifics outlined in any statements demonstrations or presentations and if Infoblox delays or never introduces future products, features or enhancements, Recipient’s current purchasing decisions would not be affected.
- Recipient is not granted any license in or to any of the Confidential Information. If asked by Infoblox, Recipient will promptly return all Confidential Information and all copies, extracts and other objects or items in which it may be contained or embodied. This agreement is not assignable by Recipient, is governed by the internal laws of the State of California and may be modified or waived only in writing.
